Pursuant to the recommendations expressed by the Corporate Governance Code for listed companies in 2006, the Board of Directors of Seat Pagine Gialle S.p.A. met on 19 December 2006 and resolved to implement the recommendations included in the Code.
As to the Company’s governance structure, the Extraordinary Shareholders' Meeting voted on 27 September 2004 to revise the company By-laws to the provisions set forth by the comprehensive law decree reforming governance of joint-stock companies and cooperatives (Legislative Decree 6 of 17 January 2003, as amended by Legislative Decree 37 of 6 February 2004).
