SEAT PG AND ENGINEERING CLOSE THE ACQUISITION
AGREEMENT OF THE SEAT PG “DATA CENTER”

Turin, 2 July 2010 – Seat PG and Engineering, the leading system integrator in Italy, announced today that they have closed the acquisition agreement regarding Seat’s Data Center business unit in Turin.
Starting 1 July, the agreement involves the transfer to Engineering of the personnel and offices relating to the data center, network, and voice operations, as well as distributed infrastructures and on going services, for a total of 27 individuals. 
Based on the terms of the agreement, Engineering guarantees that the Seat PG personnel involved in the project can maintain the same employment protection that Seat PG guarantees its own employees.
At the same time, Seat PG and Engineering have signed a five-year IT services procurement contract.

These two agreements allow Engineering to take full responsibility for the business activities acquired, enabling it to provide services not only to Seat PG, but also to other customers, including through expansion of the Data Center currently in the planning stages.

The transaction aims to improve the full functionality of the business activities and resources of the business unit and leverage available synergies to increase efficiency and achieve a competitive edge.

This transaction aims to valorise the Data Center asset by developing synergies with an industry leader such as Engineering, thereby achieving even greater overall efficiency and a competitive edge while saving more than € 12 million over the next five years,” stated Alberto Cappellini, CEO, Seat PG. “ Our decision was also made with a view to the strategic objective of playing an even more significant role in the Italian economic fabric by bolstering the multimedia dimension of our products and services and enhancing our organisational efficiency, to ensure the continuity of the company and meet the markets’ and customers' demands for modernisation," concluded Cappellini.

Merging the Seat Data Center and the Engineering Data Center in Pont Saint Martin into a single, highly reliable infrastructure is part of the strategies Engineering has planned to shore up its presence in the infrastructure management sector.
