Supervisory committee appointed
The Board of Directors of Seat Pagine Gialle S.p.A., which met today and was chaired by Enrico
Giliberti, approved the “Progetto 231” in order to define the organizational model and the control
processes envisaged by Legislative Decree 231/2001.
As part of this project, and in keeping with the Company’s decision to reinforce its Rules of
Corporate Governance, the Board approved the Code of Ethics, which sets forth general principles
(such as legality, honesty, professionalism and transparency), as well as the rules of corporate
ethics applicable in dealing with all stakeholders (employees, agents, clients, suppliers and
shareholders).
The “Principles and guidelines of the organizational, management and control model, pursuant
to Legislative Decree 231/2001” were also approved. This document pinpoints sensitive activities in
relation to white-collar crime and crimes against the public administration, the elements that
characterize the model, its recipients, flows of information, and the functions and powers of the
Supervisory Committee.
The Board of Directors then appointed Marco Reboa (Indipendent Director), as Chairman,
Francesco Nigri (in charge of Internal Control) and Marco Beatrice (Head of Legal and Corporate
Affairs Department) as members of the Supervisory Committee as per Legislative Decree 231/2001. The
Board likewise stipulated that a Member of the Statutory Control Body should always be invited to
each Committee meeting.
