(*) On 28 January 2010, the first and second
ranking pledge granted by the reference shareholders over their shares in SEAT,
pursuant to the deed of pledge executed on 22 April 2004 (as subsequently extended and
confirmed), has been confirmed in relation with the execution, by SEAT, of, inter alia, an
amendment agreement of the Facilities Agreement executed with RBS on 26 May 2005 (as subsequently
amended and supplemented).
On the same date, the reference shareholders granted a new pledge over SEAT shares,
ranking subsequently to the existing pledges, as security for the Company's
liabilities under the 10.50% € 550 million Senior Secured Bond expiring
2017 and all the relevant documentation executed in connection therewith.
