Stella D’Atri

Stella d'Atri was born in 1977. She graduated in Business and Commerce from the Libera Univesità degli Studi Sociali Guido Carli in 2000 and she is enrolled on the Italian register of public accountants (Albo dei Dottori Commercialisti). She developed her professional experience in the financial information industry working for Bloomberg LP in the United Kindgom and the Unites States. In 2005 she became a CFA (Chartered Financial Analyst). Since 2005 she has worked as a consultant on corporate governance and shareholders meetings dynamics for listed italian companies and for groups of minority shareholders.

The special meeting of savings shareholders of Seat Pagine Gialle SpA held on 20 April 2010 appointed Ms D'Atri as common representative of this category of shareholders for 2010, 2011 and 2012.

The common representative of savings shareholders is responsible for protecting the interests of this category of shareholders in relations with the Company.

The appointment was made in accordance with article 147 of Legislative Decree 58/98, pursuant to article 2417 of the Italian civil code.

Powers

By law, the common representative represents the savings shareholders, implements the resolutions of the special meeting and protects their common interests in relations with the Company. She is entitled to attend ordinary and extraordinary Company meetings and to examine and obtain copies of the register of shareholders and the book of meeting minutes and resolutions. She shall also represent the shareholders in the event of insolvency proceedings.

Pursuant to article 6 of the corporate Bylaws, for the purposes of ensuring that the common representative has adequate information on operations that may influence the progress of savings share prices, notices shall be sent to her relative to the aforesaid matters according to the terms and conditions governing reporting to the market.
